Terms of Service

These Terms of Service (the “Terms”) govern your use of Stamped, a platform operated by Stamped Limited, a company registered in England and Wales (“Stamped”, “we”, “us”). Stamped enables verified, paid feature deals between independent artists. By creating an account or using the Platform (as defined in Section 1) you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy.

1. What Stamped is (and is not); definitions

In these Terms: the “Platform” means the Stamped website, applications, and services; a “Deal” is an agreement made through the Platform between two users for a paid musical feature; the “Buyer” is the user who pays for the feature in a Deal; the “Artist” is the user who performs and delivers the feature in a Deal; and a “Stamp” is the immutable, public verification badge minted when a Deal completes (Section 7).

Stamped is a technology platform through which Deals are made (for example, the Buyer purchases a verse from the Artist). We provide deal management, delivery infrastructure, and a public verification record. Stamped is a platform only: we are not a party to the creative contract between the Buyer and the Artist, we are not a record label, manager, publisher, or agent for either of them, and we do not supervise, direct, or control the creative work exchanged. All payments on the Platform are collected, held, and settled by Stripe, a regulated payment institution (Section 6). Stamped is not a bank, e-money issuer, or payment institution, and never takes possession or control of user funds.

2. Relationship between artists

The Buyer and the Artist in a Deal act as independent contractors of each other. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between any user and Stamped, or between Stamped and any Deal. Each user is solely responsible for the terms, quality, and legality of the creative work they buy or sell.

3. Eligibility

You must be at least 18 years old to use Stamped. By creating an account you represent that all information you provide is accurate, current, and complete, that you are acting on your own behalf (or are duly authorised to act for the artist you represent), and that you have the legal capacity to enter into these Terms. Each person may maintain only one Stamped account.

4. Accounts and authentication

Stamped uses magic-link (passwordless) authentication sent to your registered email address. You are responsible for maintaining exclusive access to that email account and must not share login links or active sessions with anyone else. Stamped is not liable for losses arising from unauthorised account access caused by your failure to keep your email account secure.

5. Fees

Stamped charges a platform fee of 7% of the agreed Deal amount, computed in integer cents and rounded to the nearest cent (Math.round(amountCents × 7 / 100)). The fee is borne by the Artist: it is deducted from the Deal amount at payout, so the Artist receives the Deal amount minus the platform fee. The Buyer pays exactly the agreed Deal amount, with nothing added on top. Stripe’s payment-processing costs are borne by Stamped out of the platform fee; neither the Buyer nor the Artist pays a separate processing fee. All amounts are denominated in USD. The minimum Deal size is $5.00 (500 cents). There are no subscriptions or recurring charges. Platform fees are non-refundable except where a dispute is resolved in the Buyer’s favour under Section 9 or a Deal is automatically refunded for non-delivery under Section 6, in which case the full Deal amount including the platform fee is returned to the Buyer.

6. Payments: collection, holding, and release

All payments on the Platform are collected, held, and settled by Stripe Payments Europe, Limited and/or Stripe Payments UK Limited (“Stripe”), regulated payment institutions, under Stripe Connect (Express) using separate charges and transfers. When the Buyer pays, the payment is held securely by Stripe, and Stripe releases it to the Artist only after the Deal completes. Stamped is a technology platform: its role is to confirm delivery and to instruct Stripe to release the payment when the conditions for release are met. Stamped is not a bank, e-money issuer, or payment institution, and never takes possession or control of user funds. The flow is:

  1. The Artist accepts the Deal invitation.
  2. The Buyer pays the agreed Deal amount; the payment is collected and held by Stripe.
  3. The Artist submits the deliverable through the Platform within 14 days of payment (the “delivery deadline”). If the deadline passes without delivery, the Deal does not complete and the Buyer is automatically refunded the full Deal amount, including the platform fee (Section 10).
  4. The Buyer reviews the deliverable and confirms delivery (or opens a dispute under Section 9). Confirmation starts a 48-hour review window, described in Section 7.
  5. If no dispute is open when the 48-hour window ends, the Deal completes: Stamped instructs Stripe to release the Artist’s share (the Deal amount minus the 7% platform fee) to the Artist’s Stripe Connect account, and the Stamp is minted (“auto-stamp”).

Artists must complete Stripe Connect onboarding, including Stripe’s identity verification (KYC), before receiving payouts. Stripe’s own terms apply to your Stripe account.

7. Delivery, confirmation, and the Stamp

After the Artist submits the deliverable, the Buyer reviews it and either confirms delivery or opens a dispute under Section 9. Confirming delivery starts a 48-hour review window during which the Buyer may still open a dispute. If no dispute is open when the window ends, the Deal completes automatically (“auto-stamp”): Stripe releases the payment to the Artist and a Stamp is minted. Completion is terminal and irreversible — once the payment has been released and the Stamp is minted, the Deal cannot be reopened on the Platform.

A Stamp is an immutable, public verification badge recording the facts of the completed Deal (the artists involved, the Deal terms, and the completion date), rendered as a generated image. Stamps are permanent and public by design: they cannot be edited or deleted, by you or by us, including after account termination. By completing a Deal you expressly consent to this permanence. Delivered audio itself is never public — see the Privacy Policy for how files are handled.

8. Intellectual property

Artists retain full ownership of their creative work. Stamped acquires no rights in delivered audio. The Artist warrants that the delivered audio is fully cleared: that they own or have cleared all rights in every element of the deliverable — including their own and any other featured vocal performances, and any samples, interpolations, or third-party material — and that the Buyer’s use of it as licensed below will not infringe any third party’s rights. The Artist will indemnify Stamped and the Buyer against losses arising from a breach of this warranty.

Unless the Buyer and the Artist agree otherwise in writing, on completion of a Deal the Buyer receives a perpetual, worldwide, royalty-free licence to reproduce, distribute, publicly perform, and commercially exploit the delivered performance as part of the Buyer’s track, and the Artist retains all other rights in their contribution (including writer and publishing interests). The Buyer and the Artist remain free to agree different or additional terms between themselves; Stamped does not draft, hold, or enforce that agreement.

You grant Stamped a limited, non-exclusive, worldwide, royalty-free licence to display your artist name, profile content and photos, and Stamp records (Deal metadata and the generated badge image) for the purposes of operating and promoting the Platform and maintaining the public verification record. This licence does not cover delivered audio files or stems.

9. Disputes between artists

Stamped adjudicates exactly two categories of dispute, and no others:

  1. Non-delivery — the Artist did not submit the agreed deliverable.
  2. Identity fraud — the Artist is not who they claimed to be.

Stamped does not and will not arbitrate quality. Creative and subjective judgments — whether a verse is good, on-brief, mixed well, or worth the price — are expressly and permanently out of scope. The Buyer may open a dispute at any time after payment until the end of the 48-hour review window that follows delivery confirmation (Section 7); once the Deal has completed, no platform dispute can be opened. Stamped’s resolution (release to the Artist or refund to the Buyer) is final within the Platform. Nothing in this Section affects any mandatory statutory rights you have under the law of your place of residence that cannot be waived or limited by contract. Card chargebacks are handled through Stripe’s chargeback process; initiating a chargeback instead of a platform dispute may result in account suspension and recovery of amounts from future payouts.

10. Refunds

Refunds are issued in exactly two situations: (1) automatically, for the full Deal amount, when the 14-day delivery deadline passes without the Artist submitting the deliverable (Section 6); and (2) as the outcome of a dispute resolved in the Buyer’s favour under Section 9. There are no quality-based refunds, no change-of-mind refunds after payment, and no partial refunds. If a Deal expires or is cancelled before payment is captured, no charge is made. Nothing in this Section affects mandatory statutory rights that cannot be waived or limited by contract.

11. Taxes

You are solely responsible for all taxes arising from your use of Stamped, including income tax, self-employment tax, VAT, and sales or use taxes. Stamped does not withhold taxes. Where required, tax information returns (such as US Form 1099-K) are issued via Stripe based on the information you provide during Stripe onboarding.

12. Prohibited conduct

Use of Stamped is subject to the Acceptable Use Policy, which is part of these Terms. In particular: no fraud or impersonation, no prohibited content in deliverables or profiles, no taking Deals off-platform to avoid the 7% fee, no money laundering or sanctions evasion, and one account per person. Violations may result in suspension or termination under Section 16.

13. Disclaimers

Stamped is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free, that any artist is skilled, reliable, or suitable, or that any deliverable will meet your expectations. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.

14. Limitation of liability

To the maximum extent permitted by applicable law, Stamped’s total aggregate liability to you for all claims arising out of or relating to the Platform is limited to the platform fees you paid to Stamped in the 12 months preceding the event giving rise to the claim. Stamped is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost recordings, or loss of reputation, even if advised of the possibility. Nothing in this Section limits or excludes liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot be limited or excluded under the law of England and Wales or other applicable law.

15. Changes to these Terms and to fees

We may update these Terms, the Acceptable Use Policy, or the platform fee from time to time. We will give notice of material changes by email or in-app at least 14 days before they take effect. Changes apply only to Deals initiated after the effective date of the change; Deals already in progress complete under the terms in force when they were initiated. Continued use after the effective date constitutes acceptance.

16. Suspension and termination

You may close your account at any time by contacting us. We may suspend or terminate your account for breach of these Terms or the Acceptable Use Policy, for suspected fraud, or where required by law or by our payment processor. Deals in progress at termination either complete under these Terms or are refunded at our reasonable discretion. Stamps are permanent: Stamps minted before termination remain public after your account is closed, whoever initiated the closure. Payment records are retained as required by law.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you retain any mandatory protections and forum rights granted by the law of your place of residence.
